The short version: SoleCo is software. You stay responsible for your companies, and legal advice comes from your own lawyer, if you hire one.

Pre-launch draft. These terms will be reviewed by counsel and the operating entity named before SoleCo takes payment.

What SoleCo is

SoleCo is provided by [Operating entity]. It offers software, operational checklists, and generated documents for founders of small companies.

SoleCo is software and operational checklists. It is not a law firm and does not provide legal advice. Generated documents are drafts for discussion with your own lawyer, licensed in your state. A Delaware corporation does not replace a trust, will, or power of attorney. Platform “legacy contact” tools can outrank a will under RUFADAA in most US states. SoleCo does not create an attorney-client relationship.

Your responsibilities

  • Check what SoleCo generates before relying on it. Documents list missing fields rather than guessing, but they’re only as accurate as your answers.
  • Don’t enter passwords, API keys, recovery codes, seed phrases, or other credentials. SoleCo tries to refuse them; you agree not to work around that.
  • Only share your documents with people you intend to have them. SoleCo doesn’t send them to anyone.

Payments

  • Gate is a one-time purchase through Stripe. Refunds: [policy to be set before launch].
  • Monitor, once billing is live, renews until you cancel. You can cancel at any time.
  • Legal services are never part of a SoleCo purchase. Your lawyer is a separate engagement: you hire them and pay their firm directly. SoleCo does not share legal fees and does not pay per-client referral fees to or from lawyers. Firms may pay for a listing at a flat fee unrelated to any client.

No guarantee of outcome

SoleCo can’t guarantee that a company keeps operating, that a vendor will grant access, or that any document has legal effect. SoleCo is provided as is, to the extent the law allows, and [Operating entity]’s liability is limited to the amount you paid in the previous 12 months.

Ending

You can delete your account at any time. SoleCo may suspend accounts that misuse the service, for example by trying to store other people’s credentials.
